بموجب المادة 49 من قانون MiCA، يتمتع حاملو السندات المقيمون في المنطقة الاقتصادية الأوروبية (EEA) دائمًا بحق المطالبة ضد المُصدر، ويمكنهم طلب الاسترداد بالقيمة الاسمية باليورو.

“In accordance with Article 49 of MiCAR, Holders that are EEA residents have, at all times, a claim against the Issuer and have the right to request redemption of their EURCV at par value in immediately available funds denominated in Euro.”

في حال إخفاق المُصدر في الوفاء بالتزاماته، يكون لحاملي السندات حق حصري، على أساس تناسبي، في الأصول الموجودة في الحسابات المنفصلة.

“Where the Issuer fails to meet its financial obligations towards Holders, Holders have an exclusive claim against the assets comprised in the Segregated Account(s) pro rata to their claim on the Issuer.”

حصلت شركة «سوسيتي جنرال – فورج» على ترخيص من هيئة الرقابة المصرفية والمالية الفرنسية (ACPR) بصفتها مؤسسة للنقود الإلكترونية لإصدار النقود الإلكترونية.

“Société Générale - FORGE is authorized as an electronic money institution and payment service provider on e-money tokens by the French Autorité de Contrôle Prudentiel et de Résolution (the Prudential and Resolution Authority) (the “ ACPR”) to provide electronic money issuance services.”

تخضع اتفاقية EURCV وجميع الحقوق والالتزامات المرتبطة بها للقانون الفرنسي.

“The EURCV and any rights and obligations (including any non-contractual obligations) arising out of or in connection with any of them, are governed by, and will be interpreted in accordance with, the laws of France.”

يمكن لحاملي السندات المقيمين في المنطقة الاقتصادية الأوروبية (EEA) استرداد قيمة السندات في أي وقت بالقيمة الاسمية.

“The Holders of EURCV that are residents of the European Economic Area (EEA) have a right of redemption at any time and at par value.”

قد يتعذر على حاملي العملات المقيمين في المنطقة الاقتصادية الأوروبية (EEA) الذين لا يجتازون إجراءات «اعرف عميلك» (KYC) ومكافحة غسل الأموال (AML) أو إجراءات العقوبات أو غيرها من عمليات الفحص، استرداد أموالهم.

“Holders of EURCV that are EEA residents but do not comply with KYC/AML, Sanctions Rules or other controls may not be able to exercise their redemption rights.”

في حالة تفعيل أحد خيارات الاسترداد، قد يخضع الاسترداد لرسوم سيولة أو حد يومي أو تعليق عمليات الاسترداد.

“upon the trigger of a recovery option, the redemption of the EURCV may become subject to: (i) liquidity fees, (ii) a daily limit in terms of quantity of EURCV that can be redeemed by the Issuer for the purposes of this recovery option; (iii) a suspension of redemptions”

تُودع عائدات الإصدار، باليورو، في حسابات منفصلة وتُستخدم كضمان لصندوق EURCV.

“The Issuer will transfer the issuance proceeds, converted in Euro, as the case may be, to the Segregated Account(s) so that the issuance proceeds will serve as collateral for the EURCV.”

يُودع ثمن الشراء في حساب منفصل باسم المُصدر لدى بنك «سوسيتي جنرال»، وهو أمين الحراسة الأولي للضمانات.

“The purchase price for the EURCV will be transferred by the purchaser to a segregated account opened in the name of the Issuer in the books of Société Générale (the “Initial Collateral Custodian”)”

يجوز للمُصدر إدراج العناوين في القائمة السوداء وتجميد عملات EURCV المرسلة من أو إلى أي عنوان مدرج في القائمة السوداء.

“If a Holder sends or receives EURCV from a blacklisted address, the Issuer has the right to freeze the corresponding EURCV.”

يجوز للمُصدر إنشاء وإصدار المزيد من أسهم EURCV في أي وقت دون موافقة حامليها.

“The Issuer may from time to time without the consent of the Holders create and issue further EURCV representing the same rights in all respects as set out in this White Paper, and so that the same shall be assimilated and form a single class with the outstanding EURCV.”

يتم نشر التغييرات الجوهرية في ورقة بيضاء معدلة وإبلاغ السلطات بها (المادة 51 من قانون MiCA).

“As provided with and in accordance to article 51 of MiCAR, any significant new factor, any material mistake or any material inaccuracy that would be capable of affecting the assessment of EURCV will be described in a modified version of this White Paper”
